Terms, cancellation and electronic signatures

These Terms and Conditions ("Terms") govern access to and use of the CMHC Multiplex Proposed Construction Appraisal Portal (the "Portal") operated by Aedis Appraisals Ltd. ("Aedis," "we," "us" or "our"), and the ordering and administration of appraisal services through the Portal.

1. Independent appraisal portal

The Portal is an independent appraisal-ordering and project-workspace service operated by Aedis. It supports proposed-construction appraisals for multiplex and multi-unit projects, including appraisals that may be used in connection with CMHC-related financing.

Aedis is not affiliated with, operated by, approved by or endorsed by Canada Mortgage and Housing Corporation. The Portal is not a CMHC underwriting application and does not determine eligibility for any financing, insurance, lending or government program.

2. Order request and engagement documents

Submitting an order is a request for appraisal services. Aedis may review the location, scope, intended use, documents, timing, conflicts and fee before accepting the assignment.

The project-specific letter of engagement, fee confirmation, these Terms, the Cancellation and Refund Policy, the Privacy Notice and the Electronic-Signature Consent form the agreement for the assignment. If a project-specific letter expressly conflicts with these general Terms, the project-specific letter governs for that assignment.

Aedis will not begin paid appraisal work or offer inspection scheduling until the required client signer and applicant have signed the current engagement-letter version and Aedis has recorded full payment as verified, unless an authorized Aedis administrator approves a different written arrangement.

3. Authority, account information and accuracy

The person placing the order confirms that they are authorized to submit the order, provide the project information and documents, identify the intended users and invite the listed project participants.

Each user must provide accurate, complete and current information, use their own authenticated account, keep authentication links and access methods confidential, and promptly notify Aedis of suspected unauthorized access.

A user who provides information about another individual confirms that they have authority to provide it and, where required, have given that individual appropriate notice or obtained consent.

4. Scope, independence and intended use

The appraisal scope, property, effective date, purpose, intended use, intended users, report type, assumptions and limiting conditions are defined in the signed engagement letter and completed report.

Aedis's valuation analysis and conclusions are independent. The fee is for professional services and is not contingent on a particular value, financing approval, loan amount, lender decision, CMHC decision or other desired outcome.

The report may be relied on only by the intended users and for the intended use identified in the engagement letter and report. Requests to add or change an intended user, purpose or scope require Aedis's written approval and may require a revised fee and a new engagement-letter version.

5. Shared project workspace and user roles

Authorized builders, developers, applicants, mortgage brokers, lenders and Aedis personnel may collaborate in the same project workspace. Access is limited to projects for which the user has been authorized.

Project information, documents, notices, status details, fees, scheduling information and signed engagement materials may be visible to authorized project members according to their role. Internal Aedis notes are not client-visible.

The project owner may invite or remove eligible project members. Aedis may suspend, restrict or remove access to protect the project, comply with law or enforce these Terms. Access changes are recorded in the project activity history.

6. Documents, property access and client cooperation

The client and project members must provide reasonably requested plans, budgets, rent schedules, approvals, environmental information and other documents, and must promptly identify material changes to the project.

The client must arrange safe, lawful and timely property access and must disclose known access restrictions, hazards or occupancy considerations before the inspection.

Missing, incomplete or materially changed information may delay, pause or change the assignment, fee, inspection or estimated delivery date. Aedis may require a revised engagement before proceeding.

7. Fees, taxes and payment

Fees are stated in Canadian dollars and are calculated or confirmed by Aedis. Standard unit pricing applies across Canada. If a property location cannot be matched to a Canadian province or territory, the Portal will show "Location review required," and payment will remain unavailable until an Aedis administrator confirms the final fee.

Applicable taxes are calculated using Aedis's configured tax settings or the payment provider's configured Canadian tax handling. The full itemized amount is shown before payment.

Full payment is due after both required signatures and before inspection scheduling. A return to a payment-success page does not by itself establish payment. An order is paid only when Aedis receives verified payment confirmation or an authorized administrator records an approved offline payment with a reason.

Aedis does not store payment-card numbers. Online card payments are collected by the hosted payment provider. Duplicate charges, refunds and payment disputes will be handled using verified transaction records.

8. Scheduling and delivery estimates

After payment is verified, the Portal may offer inspection appointments based on Aedis availability, business days, configured holidays and blocked dates. An appointment is confirmed only when recorded as confirmed in the Portal.

The client must advise Aedis promptly if an appointment cannot proceed. Rescheduling, cancellation and no-access events are governed by the Cancellation and Refund Policy and any fee disclosed before appointment confirmation.

Any displayed report-delivery date is an estimate, not an unconditional guarantee. The estimate depends on inspection completion, project complexity, timely access, required documents and any new information. If required documents are outstanding, the Portal may show "Waiting for required documents" and pause or recalculate the estimate.

9. Report delivery, security and permitted use

The completed appraisal report will be delivered as a locked PDF through the secure project workspace to authorized project members. Routine notifications will link to the Portal rather than attach sensitive documents.

Users must not bypass access controls, publish secure links, attempt to access another project, upload malicious files, misrepresent identity or authority, or use the Portal in a way that interferes with its security or operation.

Aedis retains ownership of its professional work product and grants the client and intended users the right to use the completed report for the stated intended use, subject to the engagement letter and report.

10. Third-party services and electronic communications

The Portal may use third parties for authentication, hosting, private storage, payment, email delivery, calendar synchronization, document generation, security and related operations. Those providers may apply their own terms and privacy practices.

Project notices may be sent electronically to the addresses supplied for the order. Users are responsible for maintaining a working email address and checking the Portal. Sensitive reports and project documents will be delivered through the authenticated workspace.

11. Cancellation, suspension and changes

Cancellation and refunds are governed by the Aedis Cancellation and Refund Policy below. Aedis may suspend work or access where payment is reversed, required information or access is not provided, security is at risk, a conflict is identified or continuing would be unlawful or professionally inappropriate.

Aedis may update these general Terms for future orders. The version accepted for a submitted order remains associated with that project. A material change to an active engagement requires a new document version and, where applicable, new signatures.

12. Governing law, mandatory rights and questions

Subject to legal review, these Terms and each engagement are governed by the laws of British Columbia and the applicable federal laws of Canada, except to the extent another jurisdiction's mandatory laws apply.

Nothing in these Terms limits a right or remedy that cannot lawfully be limited. Questions, disputes or billing concerns should first be directed to Aedis at admin@multiplexappraisals.com or (844) 462-3347.

If any provision is found unenforceable, the remaining provisions continue to apply to the extent permitted by law.

Aedis Cancellation and Refund Policy

This policy applies to appraisal orders submitted through the Portal. Its purpose is to make the financial result of cancellation understandable and proportionate to the work completed and non-recoverable costs incurred.

BEFORE PAYMENT

An order may be withdrawn before payment without a refund being required because no portal payment has been collected. If Aedis has separately agreed in writing to begin work before payment, the written arrangement governs.

AFTER PAYMENT BUT BEFORE SUBSTANTIVE WORK BEGINS

Aedis will refund the amount paid. Any non-recoverable third-party transaction charge may be deducted only if it was disclosed before payment and the deduction is permitted by applicable law.

AFTER SUBSTANTIVE WORK BEGINS BUT BEFORE THE INSPECTION

Aedis will refund the unearned portion of the fee after deducting the reasonable value of work completed and documented non-recoverable costs. Substantive work may include assignment setup, conflict and scope review, document review, market research, data collection, analysis, communications and scheduling.

LATE CANCELLATION, RESCHEDULING OR NO ACCESS

Aedis does not charge a fixed late-cancellation, rescheduling, rebooking or no-access fee. If a cancellation, rescheduling request or failure to provide arranged access results in work being completed or reasonable, documented non-recoverable travel or third-party costs, those amounts may be retained or charged only to the extent permitted by this policy and applicable law. Aedis will document the calculation and reason.

AFTER THE INSPECTION

Because a substantial portion of the assignment may have been performed, Aedis may retain the portion reasonably attributable to work completed and non-recoverable costs. The retained amount may be the full fee where the assignment is substantially or fully complete. The administrator must record the calculation and reason.

AFTER REPORT DELIVERY

The fee is non-refundable once the report has been completed and made available, except where required by law or where Aedis approves a correction or other remedy for an Aedis error.

ADDITIONAL RULES

- No outcome-based refund. A refund is not available merely because the appraised value, analysis, lender response, CMHC response, financing amount or financing approval differs from what a client or project member expected.

- Aedis cancellation. If Aedis cancels because it cannot accept or continue the assignment for reasons not caused by the client, Aedis will refund the unearned portion. If no substantive work or deliverable was provided, Aedis will refund the amount paid.

- Client-caused delay or non-cooperation. Aedis may pause or cancel the assignment if required documents, accurate information, payment or safe access are not provided. The refund is calculated using the work-stage rules above.

- Scope changes. A material change in property, plans, unit count, intended use, intended users, financing requirements or assignment scope is not necessarily a cancellation. Aedis may issue a revised fee and new engagement-letter version.

- Refund method. Approved card refunds are returned to the original payment method. Approved offline-payment refunds are returned through an administrator-authorized method to the verified payer. Payment-provider and financial-institution processing times apply.

- Written request and audit record. The project owner or verified payer should request cancellation through the Portal or Quote Desk. Aedis will record the request, work stage, calculation, approver, reason and transaction reference in the project audit history.

- Mandatory rights. This policy does not restrict any non-waivable statutory right.

Aedis Electronic-Signature Consent

This consent applies to the electronic delivery, review, signing and retention of the Aedis letter of engagement and any later version that Aedis asks the signer to execute.

1. Choice to use electronic records and signatures

The signer consents to receive, review, sign and retain the engagement letter and related notices electronically. Electronic signing is voluntary. A person who does not wish to sign electronically may contact Aedis Quote Desk before signing to request an alternate process; using an alternate process may delay payment and inspection scheduling.

2. Signer identity, authority and intent

Each signer must use their own authenticated Portal account, enter or confirm their full legal name, title and company as applicable, and sign only in the capacity shown.

By selecting the consent checkbox and clicking "Sign and Continue," the signer adopts the typed legal name as their electronic signature, confirms their intent to sign and be bound by the displayed document version, and confirms that they are authorized to sign in the stated capacity.

The authorized client signer and the applicant must complete separate signature actions. One person may sign in both capacities only if that person is the applicant and is separately authorized as the client signer, and the Portal records both capacities.

3. Aedis firm identification

The engagement identifies Jason Upton, CRA — President, and Ian Steward, AACI, P.App — Appraisal Supervisor, British Columbia. Authorized signature images may be pre-applied when Aedis has stored and activated the private signature assets.

4. Audit record and document integrity

Aedis may record the signer's authenticated user identity and email, stated capacity, consent, date and time, document version, IP address where permitted, user agent and a tamper-evident hash of the engagement content and signed document.

After all required signatures are completed, Aedis will generate a locked signed PDF and make it available for authorized download. The signed version will not be silently changed. Any material change requires a new version and new signatures.

5. Access and copies

Before signing, the signer can review and download the complete engagement letter and applicable policies. After all signatures are complete, the signer can download or print the signed PDF through the secure Portal while access remains active and may request a copy from Aedis subject to lawful retention and identity verification.

6. Withdrawal of consent

A signer may withdraw consent to electronic delivery or signing for future records by contacting Aedis. Withdrawal is effective after Aedis has a reasonable opportunity to process it, does not invalidate an electronic signature already completed, and may require future documents to be handled through an alternate process.

7. Technical requirements

The signer must have a current web browser, reliable internet access, access to the verified email or authentication account used for the Portal, and software or device capability to view and retain PDF files. The signer should contact Aedis before signing if the document cannot be accessed, read, downloaded or retained.
